Terms and Conditions

Our sales and services are exclusively provided subject to the following terms and conditions, even though we do not expressly object to the terms and conditions of our business partners.

1. Deliveries are made for the account and at the risk of the recipient. The recipient is obliged to accept special custom-made parts made on his behalf. We reserve the right to supply reasonable additional or short delivery quantities.
2. Quoted delivery deadlines are to be considered as approximate and non-binding. Damage claims for late deliveries cannot be asserted against us. However, the purchaser is entitled to withdraw from the contract, if we fail to deliver within a week of a deadline extension communicated in writing.
3. All prices are to be understood non-binding ex works, exclusive of VAT and without packaging. Prices are charged in accordance with prices and discounts valid on the day of delivery.
4. Payment is required within 10 days of the date of invoice with 2% discount or net within 30 days of the date of invoice. Payment by means of bank draft requires special agreement, while discount expenses must be paid immediately in cash. Bank drafts and cheques are considered as payment only after they have been honoured by the bank.
5. We reserve ownership of merchandise delivered on the basis of business relations until paid in full, including in case of resale of the merchandise. Purchase price claims of our customers are herewith assigned to us and secure all open claims from business relations. In case of further processing, it is agreed that the purchaser assigns a share of ownership to us in the sense of § 947, Section 1 BGB (Civil Code), and to store the manufactured goods on our behalf. In case of resale of such processed goods, the part of the purchase price claim equal to the share of our joint ownership is considered to be assigned to us.
6. Warranty claims against us are accepted only to the extent of warranty claims we are able to assert against our own suppliers. We are entitled and, upon request of our customers, obliged, to assign our warranty claims against our suppliers to our customers. Complaints or claims are only considered if they are made in writing within 7 days of the date of the invoice.
7. These terms and conditions also apply to future business, unless they are modified by us.
8. Place of fulfillment for both parties is 88299 Leutkirch (Germany). Jurisdictional venue for both parties is 88212 Ravensburg (Germany).
